Terms of use
Version POPNG-TOU-2026-10-v0.1 · Effective date 19 October 2026
1. Who we are and what these terms cover
The POP Nigeria website and investor portal (the "Service") are operated by POP Global Holdings LLC, a Delaware limited liability company, registered address 850 New Burton Road, Suite 201, Dover, DE 19904, USA (registered office) ("POP Global", "we", "us"). Our group company POP Global Nigeria Limited (RC 1901102, Nigeria) assists us in operating the Service.
These terms govern your access to and use of the Service. By creating an account, or by ticking the acceptance box, you agree to these terms and confirm that you have read the Privacy Notice (POPNG-PRIV-2026-10-v0.1) and the Cookie Notice (POPNG-COOK-2026-10-v0.1).
2. BETA and invitation only
- The Service is in BETA. Features may be incomplete, may change, and may be paused or withdrawn.
- Access to the portal is by personal invitation only. An invitation link is personal, may be used once, and expires after the period shown in the invitation. Sending a new invitation cancels the earlier link.
- Registration does not guarantee approval. We approve each user individually, at our discretion, and may decline without giving reasons.
3. Not an offer, not advice
- Nothing in the Service is an offer to sell, or a solicitation of an offer to buy, any security or investment product, in any jurisdiction.
- Nothing in the Service is investment, legal, tax or financial advice, or a recommendation.
- Any investment can be made only under a separate written framework agreement and purchase annex signed by you and POP Global Holdings LLC, or another POP holding company named in the agreement, after investor verification. Those signed documents alone set out the rights and obligations of the parties. If they differ from anything in the Service, the signed documents prevail.
- Any figure shown in the portal that relates to the future, including expected income, is an estimate. It is not a promise or a guarantee.
See also the Disclaimer (POPNG-DISC-2026-10-v0.1).
4. Who may use the Service
You may use the Service only if:
- you are at least 18 years old and have full legal capacity;
- you have received an invitation from us;
- you are not resident in, located in or acting on behalf of a person in a country or territory to which we do not offer the Service (none at present, other than countries subject to sanctions);
- you are not a person subject to sanctions, and not owned or controlled by such a person;
- you act on your own behalf, or on behalf of an entity you are authorised to represent and have disclosed to us.
No investor eligibility criteria apply beyond invitation and approval at present. You must give us accurate information and keep it up to date.
5. How the process works
- Approval of your registration, based on privacy and sanctions checks.
- Viewing general information about available opportunities, and marking your interest. Marking interest is not a commitment by you or by us.
- Investor verification (identity, address, source of funds) only before signing or payment.
- Signing of the framework agreement and purchase annex.
- Detailed information about your own unit, including its exact address, its coordinates and the identity of its tenant, is made available only after signing, and only for your own unit.
- Transfer of funds by bank transfer, only from an account in your name, using the reference we give you. Funds are not paid through the Service.
During BETA, functions that create a commitment or involve money may be switched off.
6. Your account and security
- Your account is personal. Do not share your password, your authenticator app or one-time codes with anyone. We will never ask you for your password.
- Two-factor authentication with an authenticator app is mandatory. Codes by WhatsApp or SMS may be added later. Until then, account recovery that requires more than an email code is handled manually by our team, after verifying your identity.
- If you change your authenticator app or another security setting, we will notify you. If it was not you, use the "not me" option in the notice or contact us at once.
- Tell us immediately at info@popnigeria.com if you suspect unauthorised access.
- We may suspend or lock an account to protect it, or you, or the Service.
7. Communications
- During BETA, invitations, notices and security alerts are sent by email to the address in your account, and are shown in the portal. Messages by WhatsApp or SMS may be added later, and we will tell you when.
- The WhatsApp contact shown on the website is POP's business WhatsApp line, for contact with our team. A separate, automated POP Nigeria WhatsApp number will be used for codes and portal messages once enabled; until then it is not active. Messages sent to the automated number receive a fixed automatic reply and are forwarded to our team. Neither number is an investment advice channel. For questions, you may also write to info@popnigeria.com.
- A notice sent to the email address in your account is treated as received by you.
8. Confidentiality
Information in the portal that is not public (including information about opportunities, assets, tenants, locations, prices and reports) is confidential. You may use it only to evaluate and manage your own participation. You may not copy, publish or pass it to others, except to your professional advisers under a duty of confidentiality, or where required by law.
9. Acceptable use
You must not:
- access the Service without an invitation, or use another person's account;
- try to bypass security, test vulnerabilities without our written permission, or interfere with the Service;
- use automated tools to collect data from the Service;
- upload false documents or malicious code;
- use the Service in breach of law, including sanctions and anti-money laundering laws.
10. Intellectual property
The Service, its content, the POP and POP Nigeria names and logos belong to POP Global or its group companies or licensors. You receive a personal, non-transferable, revocable right to use the Service for its intended purpose only.
11. Availability and liability
- The Service is provided "as is" and "as available", especially during BETA. We do not guarantee that it will be uninterrupted or error free.
- To the extent permitted by law, we are not liable for indirect or consequential loss, or for loss caused by events beyond our reasonable control.
- Nothing in these terms limits liability that cannot be limited by law, including for fraud or wilful misconduct.
- Liability in connection with an investment is governed by the signed framework agreement and purchase annex, not by these terms.
12. Suspension and closing an account
- You may ask us to close your account at any time, subject to any investment you hold under signed agreements.
- We may suspend or close an account if these terms are breached, if required by law or sanctions, if verification is not completed, or at the end of BETA with notice to you.
- Records we must keep are kept as described in the Privacy Notice.
13. Changes to these terms
Each version has its own document ID and effective date. If we make a material change, you will be asked to accept the new version once, the next time you sign in. We keep a record of the version you accepted and when. If you do not accept, you may close your account.
14. Governing law and disputes
These terms are governed by Delaware law. Disputes are subject to the courts of the State of Delaware. This does not take away any protection that the law of your country of residence gives you and that cannot be excluded by agreement.
15. Language
These terms may be offered in several languages. The English version prevails in case of any difference.
